Terms of Service

Welcome to Dynabite. These Terms of Service (the "Terms") govern your access to and use of the Dynabite restaurant operating system, including www.dynabite.net, dashboard.dynabite.net, admin.dynabite.net, our REST API, the Dynabite and Dynabite Business mobile apps, and any related services (collectively, the "Service"). By creating an account, accessing the Service, or accepting these Terms during signup, you agree to be bound by them. If you do not agree, do not use the Service.
1. Who we are
Dynabite is a software-as-a-service platform for restaurants and other hospitality businesses. We provide tools for reservations and floor planning, point-of-sale and pay-at-table via QR, kitchen display, menu management, inventory and procurement, CRM and loyalty, marketing automation, analytics, hiring, training, multi-location franchise management, and a consumer-facing discovery surface at www.dynabite.net. We do not own or operate the restaurants on the platform; we provide the software they use to operate.
2. Eligibility & Accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. By signing up you represent that all information you provide is accurate and that you are authorised to bind your business to these Terms.
You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at security@dynabite.net of any unauthorised use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or compliance risk.
3. Subscription Plans & Fees
Dynabite offers tiered subscription plans (Free, Starter, Growth, and Pro) plus an Enterprise tier by sales agreement. Current pricing is published at www.dynabite.net/pricing and is incorporated into these Terms by reference. Paid plans are billed monthly in advance via Stripe. Plan limits — including covers per month, included messaging credits, and outlets per account — are enforced server-side and may pause certain features when exceeded.
Upgrades take effect immediately and are pro-rated. Downgrades take effect at the start of the next billing cycle. Subscriptions automatically renew unless cancelled. You may cancel at any time from the Stripe customer portal accessible inside your dashboard; cancellations take effect at the end of the current billing period and we do not refund fees already paid except where required by law.
Additional usage-based charges may apply for messaging credit packs (SMS, WhatsApp, email top-ups) and any add-on services you enable. All fees are exclusive of applicable taxes (VAT, sales tax, withholding) which will be charged on top where required.
4. Pay-at-Table & Stripe Connect
If you enable QR Pay & Order, payments from your guests are processed through Stripe Connect into your connected Stripe account. By enabling this feature you also accept the Stripe Connected Account Agreement. We charge a per-transaction platform fee that depends on your subscription tier (10% on Free, 8% on Starter, 6% on Growth, 5% on Pro; lower rates available on Enterprise). The applicable fee is shown on your pricing card and on the wallet page in your dashboard.
Payouts of your wallet balance are subject to admin review and Stripe transfer schedules. Refunds initiated through the dashboard reverse both the original charge and the platform fee on a best-effort basis. You are responsible for honouring guests' orders and for any chargebacks, disputes, or refund obligations arising from transactions you accept.
5. Customer Data & Your Restaurant
You retain ownership of all data you upload or that your guests generate while using your restaurant's Dynabite presence — menus, bookings, orders, customer profiles, reviews, hiring jobs, gift cards, loyalty balances, and similar ("Customer Data"). You grant Dynabite a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and process Customer Data solely to operate and improve the Service for you.
You are responsible for complying with all laws governing your collection and use of guest data, including obtaining required consents under GDPR, CCPA, and analogous local regimes. Our handling of personal data is described in our Privacy Policy.
6. Reservations, Orders & Consumer Interactions
When a guest books, orders, or pays through Dynabite, the contract for that meal, event, or transaction is between the guest and the restaurant — Dynabite is not a party. You are responsible for honouring confirmed bookings, fulfilling orders, handling allergens and food-safety obligations, setting cancellation policies, and accurately representing your menu, pricing, hours, and availability on the platform.
7. Acceptable Use
You may not, and will not allow any user to: (a) reverse-engineer or attempt to extract source code from the Service except where allowed by law; (b) use the Service to send spam, unsolicited bulk messaging, or content that infringes a third party's rights; (c) interfere with or circumvent security, rate limits, or authentication; (d) scrape, mirror, or framing the Service without written permission; (e) upload malware, illegal content, or content that violates the rights of others; (f) misrepresent your business, your menu, your prices, or guest identities; (g) resell or sublicense access to the Service.
We may, at our discretion, remove content, throttle activity, or suspend accounts that violate this section. Violations involving our payment, messaging, or AI capabilities may also result in immediate termination.
8. Intellectual Property
The Service, including its software, design, branding, trademarks, and documentation, is and remains the exclusive property of Dynabite and its licensors. You receive a limited, revocable, non-transferable licence to use the Service for the duration of your subscription. The Dynabite name and logo may not be used without written permission outside the in-product attribution shown on guest-facing surfaces.
9. Service Availability & Changes
We aim for high availability but do not commit to a specific uptime SLA outside Enterprise contracts. We may add, modify, deprecate, or remove features at any time. We will give reasonable notice of material breaking changes via email or in-product announcements where practical.
10. Termination
You may terminate your subscription at any time as described in §3. We may suspend or terminate your access for material breach of these Terms, non-payment, fraud, or where required by law. On termination, you may export your Customer Data within 30 days; after that period, we may delete your data subject to any retention obligations described in our Privacy Policy.
11. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.
To the maximum extent permitted by law, Dynabite's aggregate liability for any claim arising out of or in connection with the Service will not exceed the fees you paid us in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
12. Indemnification
You agree to defend, indemnify, and hold harmless Dynabite and its affiliates from any claim or demand, including reasonable legal fees, made by any third party arising out of your use of the Service, your Customer Data, your interactions with guests, or your violation of these Terms or applicable law.
13. Governing Law & Disputes
These Terms are governed by the laws of the United Arab Emirates (DIFC), without regard to conflict-of-laws principles. The Dubai International Financial Centre Courts have exclusive jurisdiction over any dispute arising under these Terms, except that we may seek injunctive relief in any competent court.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in-product and by email at least 14 days before they take effect, except where a shorter period is required for security or legal compliance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
